HOMEOWNERS’ ASSOCIATION

CONSTITUTION
Article I. Name
The name of the association
shall be Forest Lake Homeowners’ Association.
Article II. Object
The object of this
association shall be to manage the use of Forest Lake
west of Highway No. 103 as periodically authorized by Forest Lake of Florence,
Inc., the owner and easement holder of that portion of lake bed and adjacent
shoreline in accordance with the Grant of Authority given to Forest Lake
Homeowners’ Association by Forest Lake of Florence, Inc. Officers, directors or members of Forest
Lake Homeowners’ Association are prohibited from doing any act individually or
in concert which would be contrary to the primary purpose of the association.
The object of this
association shall be to draw the residents of Forest Lake closer in friendship
and neighborliness, to promote the enhancement of the beauty and general living
conditions of the neighborhood, to speak as a united voice for the
neighborhood, to join in a united stand against encroachment of business and
commercial establishments within, or objectionably adjacent to the
neighborhood, to prevent the streets of the neighborhood from being used by
commercial trucks and vehicles not actually in the process of making deliveries
of wares or materials into the neighborhood for use within the neighborhood,
and otherwise seek to improve and protect the area from objectionable
developments within and adjacent to the neighborhood, thus protecting the value
of property within the development.
It iis also the object of
the Forest Lake Homeowners’ Association to insure compliance with all
agreements and Restrictive Covenants relating to Forest Lake Subdivision as
recorded in the office of the Clerk of Court for Florence County.
Article III. Eligible
Constituency
The eligible constituency of
this association will consist of all property owners contained within the
following boundaries:
All those property owners within the tract
originally designated
as Forest Lake
known as Forest Lake Subdivision.
Article IV. Membership
The membership of the
association shall consist of the property owners of the area described in
Article III. Membership shall be voluntary on the part of
each resident property owner or resident, with the requirement that each member
shall contribute dues in the amount voted by the majority of the members
present. Members delinquent in payment
of their dues automatically forfeit their voting privileges in the association
and therefore also automatically forfeit their rights to the use, access and
enjoyment of the lake. It is agreed that
a husband and wife in a residence are both members regardless of how the deed
to the property reads, provided dues are paid in accordance with the Constitution
and By-Laws of the association.
Article V. Voting
Rights
In order to maintain an
equitable voting procedure, only one vote per household will be allotted. In
the event a husband and wife cannot agree on the vote, they can be granted a
half vote each. Members delinquent in
the payment of their dues forfeit their voting rights until dues are paid up to
date. In the case of a non-resident
property owner, if he so desires, he can, upon notice in writing to the
association, designate his tenant as the voting resident, provided that the
tenant otherwise qualifies for membership in the association and pays the same
dues as the property owner residents.
Article VI. Officers
Section 1. The officers
of the association shall be a President, a Vice-President, a Secretary, and a
Treasurer. The officers shall be elected
annually from within the Board of Directors by the Board of Directors. The Board of Directors shall consist of nine
(9) members elected by the membership of the association. (Due to initial
organization, ten (10) members may serve the first year of the association’s
existence.) The Board shall operate on a rotating system which requires three
members to rotate off each year by order of election. A member rotating off shall be ineligible for
re-election for a period of one (1) year.
Section 2. Vacancies in
office shall be filled by members of the Board by vote of the Board of
Directors.
Section 3. Vacancies
caused by three members of the Board of Directors rotating off each year shall
be filled at the annual meeting.
Section 4. It is
recognized that the original organizers of Forest Lake Homeowners’ Association
have the authority to appoint themselves or others as officers or directors of
the association in order to facilitate organization. In order to facilitate the original organization,
the appointment by the original organizers of officers or directors of the
association shall be binding and the appointed and designated officers and
directors shall serve until such time as a regular meeting of the eligible
constituency of Forest Lake Homeowners’ Association is called and at that time
nominations and elections to the Board of Directors and offices shall be opened
up to the entire membership, at which time the entire membership may nominate
their own officers or Board of Directors according to provisions of the
Constitution and By-Laws or ratify the original organizers’ previous
appointments and designations.
Article VII. Meetings
Section 1. The annual
meeting shall be held the first Thursday in March of each year at 7:00 P.M. at
a place designated by the Board of Directors and the membership will be
notified in advance of the meeting place and time. The Board of Directors shall have the right
to adjust the time of the annual meeting provided the membership is given
proper notification.
Section 2. Special
meetings may be called by the President of the association. Association members also may call a special
meeting by three members making written notification to the President in which
the purpose of the meeting is clearly stated and a notice of at least fourteen
(14) days be given.
Article VIII. Quorum
One-third of the membership,
by households, shall constitute a quorum at any regular, special, or annual
meeting.
Article IX. Amendments
The constitution may be
amended at any annual meeting by two-thirds vote of all active members present
provided quorum requirements are met.
The proposed amendments must have been submitted to the membership at
least two weeks in
advance of the annual meeting. This same
procedure must apply should it become necessary to consider an amendment
between annual meetings. The two-thirds
vote of members present and voting shall also apply.
